Welcome to Cap Wallet. These Terms of Service (“Terms”) govern your access to and use of the Cap Wallet mobile application, browser extension, and related services (together, “Cap Wallet” or the “Services”), provided by Cap Wallet (“Cap Wallet,” “we,” “us,” or “our”).

By downloading, accessing, or using Cap Wallet, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Who Can Use Cap Wallet

To use Cap Wallet, you must:

  • Be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is greater
  • Have the legal capacity to enter into a binding agreement
  • Not be located in, or a resident of, a country or region subject to comprehensive sanctions
  • Not be listed on any sanctions or restricted party list maintained by the United Kingdom, United States, European Union, or United Nations
  • Be legally permitted to access and use digital asset and payment services in your jurisdiction

You are responsible for making sure your use of Cap Wallet complies with the laws that apply to you.

2. What Cap Wallet Is

Cap Wallet is a self-custody application. It gives you a single place to hold, move, and grow your money, including digital assets, and, where available in your market, to spend, save, and manage a business.

Cap Wallet includes:

  • A non-custodial, multi-chain wallet
  • Nia, our AI agent, which offers portfolio insights, fee optimization, and risk detection
  • Payment tools, including transfers, QR payments, and recurring payments
  • A debit card, funded by your wallet
  • Swaps, bridges, and access to on-chain and tokenized markets
  • Business account features for eligible users

Not every feature is available in every country. We may add, change, or remove features at any time.

3. Self-Custody: What This Means for You

Cap Wallet is non-custodial. Your private keys are generated and stored on your own device. We do not hold, control, or have access to your keys, your seed phrase, or your funds at any time.

Because of this:

  • We cannot see, freeze, move, or recover your assets on your behalf
  • We cannot restore your wallet if you lose your seed phrase or private keys
  • We cannot reverse a transaction once it has been submitted to a blockchain
  • You are solely responsible for keeping your device, your seed phrase, and your private keys secure
If you lose access to your keys or seed phrase, your assets may be permanently unrecoverable. This is a fundamental feature of self-custody, not a failure of the Services.

4. Cards, On/Off-Ramps, and Other Regulated Services

Some features of Cap Wallet, including card issuance, currency conversion, and moving between digital assets and traditional currency, are provided in partnership with licensed and regulated third parties. Those partners, not Cap Wallet, are responsible for the regulated activity involved.

When you use one of these features, you may also be agreeing to that partner’s own terms, which we will make available to you before you use the relevant feature. Cap Wallet acts as the technology and interface layer connecting you to these services. We are not a bank, payment institution, or money transmitter, and nothing in these Terms should be read as making us one.

5. Your Account and Your Responsibilities

You agree to:

  • Keep your device, app, and any account credentials secure
  • Never share your seed phrase or private keys with anyone, including anyone claiming to represent Cap Wallet
  • Review and confirm every transaction before you approve it
  • Keep your contact and verification details accurate and up to date, where applicable
  • Use Cap Wallet only for lawful purposes

We will never ask you for your seed phrase or private keys. Anyone who does is not us.

6. Nia and Other AI Features

Nia, and any other AI-powered features within Cap Wallet, are designed to help you understand fees, risk, and opportunities. They are tools, not guarantees.

You understand and agree that:

  • AI-generated insights, warnings, and suggestions may be incomplete, delayed, or incorrect
  • Nia does not have final authority over any transaction. You do
  • Cap Wallet is not liable for losses arising from a decision made using Nia’s insights, or from Nia failing to flag a risk

7. Fees

Cap Wallet may charge fees for certain services, including swaps, bridging, currency conversion, card use, and subscription features. Current fees are shown in the app before you confirm a transaction, or listed on our website. We will not change how a fee applies to a transaction you have already confirmed.

8. Risks of Digital Assets

Digital assets carry real risk. Before using Cap Wallet, you should understand that:

  • Prices can be highly volatile and can fall to zero
  • Blockchain transactions are generally irreversible
  • Smart contracts and third-party protocols may contain bugs, exploits, or vulnerabilities outside our control
  • Regulatory treatment of digital assets varies by country and may change
  • You are solely responsible for evaluating whether a transaction, asset, or protocol is appropriate for you

Cap Wallet, including Nia, does not eliminate these risks. It is designed to help you manage them.

9. No Financial, Legal, or Tax Advice

Nothing in Cap Wallet, including content from Nia, is financial, legal, investment, or tax advice. We do not recommend that you buy, hold, or sell any asset. You are responsible for your own decisions, and for any tax obligations that result from your use of Cap Wallet.

10. Prohibited Use

You may not use Cap Wallet to:

  • Commit fraud or facilitate fraud
  • Launder money or finance illegal activity
  • Manipulate markets
  • Interact with sanctioned addresses, entities, or jurisdictions
  • Circumvent any security, verification, or compliance control
  • Interfere with or attempt to disrupt Cap Wallet’s infrastructure

If we reasonably believe you are violating this section, we may restrict your access to certain in-app or cloud-based features. Because Cap Wallet is non-custodial, we cannot freeze, seize, or block your wallet or your assets directly.

11. Intellectual Property

Cap Wallet, including its name, logo, design, and software, belongs to Cap Wallet Limited. Using the Services does not give you any ownership over them. You may not copy, modify, reverse-engineer, or redistribute any part of Cap Wallet without our written permission.

12. Disclaimers

Cap Wallet is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Cap Wallet will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the fullest extent permitted by law, Cap Wallet Limited, its directors, employees, and affiliates will not be liable for:

  • Loss of funds due to lost or compromised keys or seed phrases
  • Losses arising from market volatility or third-party protocol failures
  • Losses arising from your reliance on AI-generated insights
  • Indirect, incidental, or consequential damages of any kind

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by our negligence.

14. Indemnification

You agree to indemnify and hold harmless Cap Wallet Limited and its directors, employees, and affiliates from any claim, loss, or expense, including reasonable legal fees, arising from your use of Cap Wallet, your violation of these Terms, or your violation of any law or the rights of a third party.

15. Suspension and Termination

We may suspend or restrict your access to certain features of Cap Wallet if we reasonably believe you have violated these Terms, if required by law or a regulator, or to protect the security of Cap Wallet or other users. Because Cap Wallet is non-custodial, suspension of app-based features does not affect your ability to access your wallet directly on-chain, using your own keys.

You may stop using Cap Wallet at any time.

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of Cap Wallet will be subject to the exclusive jurisdiction of the courts of England and Wales, except where local law requires otherwise.

17. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will let you know through the app or by email before it takes effect. Continuing to use Cap Wallet after a change takes effect means you accept the updated Terms.
